After a first period in which I dealt with tax law, I directed my interest towards corporate law and professional issues related to extraordinary finance transactions, specializing in particular in transfers of enterprises, blocks of controlling shares, minority stakes, in Italy and abroad, covering both the sell and buy side. The important experience gained allows me to support and assist the Client throughout the whole process: I understand and share with the Clients their needs, expectations, strategic objectives and possible alternatives, I define the criteria for the acquisition and/or disposal, make contact on a confidential basis with the ownership of the target company, lead the negotiations, structure the operation from the contractual point of view, independently or with the lawyers that may be appointed (from the drafting of the letter of intent to preparing the entire documentation, and up to managing the entire signing and closing), establish and maintain the relationship with possible financial partners (private equity fund, banks, etc). The working team that is created within the Firm or with other relevant professionals is interdisciplinary, so as to ensure advice and assistance also in performing the due diligence, defining the set of values for the negotiation, defining the business plan and financial projections, structuring the tax planning both for the business and entrepreneur itself. I also gained significant experience in defining complex governance arrangements involving several parties, in negotiating management incentive plans and shareholders' agreements. I also provide professional and contractual assistance in generational transfers, in arrangements between heirs and between family members, in corporate and group reorganizations.
I held and still hold the position of auditor in leading industrial and financial companies.
